Terms of Service

These Terms of Service ("Terms") govern the use of services provided by [Your Company Name], hereinafter referred to as the "Consultant", through this website.

By accessing or using this site and/or engaging our services, you ("Client") agree to be bound by these Terms.

1. Scope of Services

The Consultant provides strategic advisory services, including but not limited to:

  • Comprehensive assessment of business operations and workflow architecture;

  • Design and implementation of automation systems to reduce manual workload and costs;

  • Advisory on digital strategy, modernization, and transformation planning;

  • Integration of digital platforms, tools, and data systems for scalability;

  • Periodic performance reviews and efficiency audits with actionable insights.

Any services beyond the scope listed above must be agreed upon in writing by both parties.

2. Term and Termination

Services are provided for a fixed term or as outlined in a separate agreement. Either the Client or the Consultant may terminate the engagement at any time by providing at least thirty (30) days' written notice. In case of termination, the Consultant will be compensated for services rendered up to the effective termination date.

3. Fees and Payment

  • The standard consulting fee is a monthly retainer of USD 4,500 (Four Thousand Five Hundred U.S. Dollars);

  • Any additional services outside the agreed scope will be billed at a rate of USD 150 (One Hundred Fifty U.S. Dollars) per hour;

  • Payments are to be made by bank wire transfer or stable cryptocurrency, as stated in the Consultant’s invoice, and are due within ten (10) business days from the invoice date.

4. Confidentiality

Both parties agree to maintain the confidentiality of all non-public or proprietary information exchanged during the course of service. Such information shall not be used for any purpose other than the fulfillment of these Terms. This obligation remains in effect for two (2) years following termination of the relationship.

5. Intellectual Property

All customized materials, reports, and deliverables developed specifically for the Client shall become the Client’s property upon full payment. The Consultant retains all rights to pre-existing intellectual property, tools, frameworks, or methodologies used in service delivery.

6. Representations and Warranties

Each party represents that it has the legal authority to enter into and fulfill its obligations under these Terms and that doing so does not conflict with any existing legal or contractual commitments.

7. Independent Contractor

The Consultant operates as an independent contractor. Nothing in these Terms shall be construed to create a joint venture, partnership, employment, or agency relationship between the parties.

8. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Green Earth Zone. In the event of any disputes, the parties will first attempt to resolve them through good faith negotiations. If no resolution is reached, disputes shall be submitted to arbitration under the applicable rules of the Green Earth Zone Arbitration Authority.

9. Entire Agreement

These Terms constitute the full and complete agreement between the parties regarding the services provided. Any modifications must be in writing and signed by both parties.
